Terms and Conditions for Legipoint

Effective Date: June 19, 2025

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Legipoint website and any associated services (collectively, the "Service") operated by Primepoint Systems LLC ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Definitions

• Service: Refers to the Legipoint software-as-a-service application, website, and all related tools, features, and functionalities.

• User / You: Refers to the individual or entity accessing or using the Service.

• Account: Your registered account with Legipoint that allows you to access and use the Service.

• Content: Any data, text, files, information, usernames, graphics, images, photos, profiles, audio and video clips, sounds, musical works, authorship, applications, links, and other materials that you post, upload, link to or otherwise make available on the Service.

• Subscription: The paid plan that grants you access to certain features and usage limits within the Service for a specified period.

2. User Accounts

2.1. When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

2.2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party social media service.

2.3. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2.4. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

3. Subscriptions and Payments

3.1. Subscription Plans: The Service is offered on a subscription basis.

3.2. Billing: By selecting a Subscription, you agree to pay Primepoint Systems LLC the monthly or annual subscription fees indicated for that service. Payments will be charged on a pre-pay basis on the day you sign up for a Subscription and will cover the use of that service for a monthly or annual subscription period, as indicated.

3.3. Automatic Renewal: Your Subscription will automatically renew at the end of each billing period unless you cancel it. You will be charged the applicable Subscription fee for the next period unless you notify us of your desire to cancel your Subscription before the end of the current billing period.

3.4. Price Changes: Primepoint Systems LLC reserves the right to change its Subscription fees upon 30 days prior notice. Such notice may be provided at any time by posting the changes on the Service or via email.

3.5. Refunds: All Subscription fees are non-refundable, except as required by law.

4. Intellectual Property

4.1. The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Primepoint Systems LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States of America and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Primepoint Systems LLC.

4.2. You retain ownership of any Content you submit, post, or display on or through the Service. By submitting, posting, or displaying Content, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods (now known or later developed) solely for the purpose of operating and providing the Service to you and other users.

5. Acceptable Use

5.1. You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Service.

5.2. You specifically agree not to:

* Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.

* Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.

* Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

* Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

6. Termination

6.1. We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

6.2. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or follow the cancellation instructions provided within your account settings.

7. Disclaimer of Warranties

7.1. Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

7.2. Primepoint Systems LLC does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

8. Limitation of Liability

8.1. In no event shall Primepoint Systems LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Governing Law

9.1. These Terms shall be governed and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

9.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

10. Changes to These Terms

10.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10.2. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
